Brand Campaign Terms
Effective date: October 7, 2026
1. Scope
These Brand Campaign Terms ("Brand Terms") apply to brands, agencies, advertisers, sponsors, and other customers ("Brand") using After Class to identify, engage, or manage students, creators, athletes, alumni, organizations, or campus activations.
2. Campaign Order; Scope of Work
Each campaign should be documented in a proposal, order form, statement of work ("SOW"), email confirmation, or other written campaign confirmation specifying, as applicable: campaign objective, schools, participant types, quantity, deliverables, dates, platforms, events, usage rights, exclusivity, approvals, compensation, performance incentives, expenses, product shipment, reporting, and fees. Scope not expressly included is excluded.
3. After Class Services
After Class may provide sourcing, vetting, shortlisting, introductions, negotiation, contracting, briefing, logistics, reminders, deliverable collection, approval coordination, payment administration, reporting, replacements, and other campaign-management services. After Class may use employees, contractors, vendors, and technology providers to perform services.
4. Fees; Participant Compensation
Brand will pay the amounts stated in the campaign confirmation, which may include participant compensation, After Class service fees, setup/recruiting fees, travel, product/shipping costs, event costs, platform/payment charges, performance bonuses, taxes, and approved expenses. Unless expressly stated otherwise, After Class's fee is earned for sourcing and managing the campaign and is separate from participant compensation.
5. Payment Terms; Funding
Unless the campaign confirmation states otherwise, Brand must pay 100% of estimated campaign fees and participant compensation before participant work begins. After Class may agree to milestone billing for larger campaigns. No participant is required to begin work until required funding is received and cleared.
Undisputed invoices are due according to the invoice. Late amounts may accrue the lesser of 1.5% per month or the maximum lawful rate, plus reasonable collection costs. Brand may not offset or withhold undisputed amounts because of a dispute involving another campaign.
6. Taxes; Withholding
Brand is responsible for applicable sales, use, excise, or similar transaction taxes imposed on the services, excluding taxes on After Class's net income. After Class may collect and remit taxes where required.
7. Cancellation and Reduction
Because After Class may incur sourcing, contracting, and participant commitments before launch, cancellation charges may apply. Unless an SOW states otherwise: (a) setup/recruiting fees are non-refundable once sourcing begins; (b) participant amounts already committed or earned remain payable; (c) a cancellation within 14 days of a scheduled deliverable or event may require 50% of remaining After Class service fees; and (d) cancellation within 72 hours may require 100% of remaining committed participant compensation and service fees, to the extent permitted by law. After Class will use commercially reasonable efforts to mitigate avoidable costs.
8. Scope Changes
Changes to quantity, schools, deliverables, platforms, dates, usage rights, exclusivity, events, reporting, or approval requirements may change pricing and timing. After Class is not obligated to perform material out-of-scope work until revised terms are accepted.
9. Brand Responsibilities
Brand will provide accurate briefs, timely approvals, necessary products/assets, shipping information, approved claims, legal disclosures, brand guidelines, contacts, and other materials required for performance. Brand will not instruct participants to make deceptive or unlawful claims or conceal sponsorship disclosures.
10. Product Safety and Claims
Brand represents that products and services supplied or promoted are lawful, appropriately labeled, safe when used as directed, and supported by substantiation for claims Brand instructs participants to make. Brand is solely responsible for product defects, recalls, adverse-event reporting, regulatory classifications, required licenses, and the accuracy and legality of brand-provided claims.
11. Regulated Categories
Campaigns involving alcohol, nicotine, gambling, financial products, healthcare, supplements, cannabis, weapons, political advocacy, or other regulated or age-restricted categories require After Class's prior written approval and may be rejected or subject to additional restrictions, age verification, legal review, school approval, or higher fees.
12. Participant Selection
After Class may recommend or shortlist participants, but Brand is responsible for final selection when Brand approval is part of the scope. Unless expressly warranted in writing, follower counts, engagement, audience demographics, and other third-party platform metrics are estimates or snapshots and may change.
13. No Guaranteed Performance
After Class does not guarantee impressions, views, engagement, sales, installs, signups, attendance, press coverage, algorithmic distribution, conversion rates, or other results unless a specific guaranteed deliverable is expressly stated in writing. Performance-based payments will use the agreed attribution method and fraud rules.
14. Approvals and Revision Limits
Brand must review submissions within the timeframe in the SOW; silence beyond that period may delay launch without fault by After Class. Unless stated otherwise, pricing includes only reasonable revisions necessary to comply with the original brief. New concepts, reshoots caused by changed direction, additional deliverables, or material scope changes may require additional fees.
15. Creative Independence; Endorsement Integrity
Participants must retain enough independence to give honest opinions and comply with advertising law. Brand may provide mandatory factual points and prohibited claims but may not require false experiences, fake testimonials, hidden sponsorships, or deceptive statements.
16. Usage Rights
Brand receives only the usage rights expressly stated in the campaign confirmation. Unless expressly included, Brand receives no perpetual license, paid-media rights, whitelisting, boosting, sublicensing, raw footage, exclusivity, or ownership. Usage beyond the agreed scope requires additional written permission and compensation.
17. Name/Image/Likeness and AI
Brand may use participant name, image, likeness, voice, handle, and content only as authorized in campaign terms. Brand may not materially alter a participant's identity, create a synthetic or AI-generated replica, train a generative model on participant content/likeness, or create new endorsements through AI without separate express written consent.
18. Brand Materials and Intellectual Property
Brand grants After Class and participants a limited license to use Brand-provided trademarks, assets, products, and materials solely to perform the campaign. Brand represents it has rights to provide those materials and that authorized use will not infringe third-party rights.
19. Music, Third-Party Content, and Platform Rights
Unless otherwise agreed, Brand is responsible for obtaining any special music, talent, location, or third-party rights it specifically requires beyond ordinary platform-permitted creator use. Participants must use reasonable care to avoid unauthorized materials, but platform libraries and platform rules may change.
20. Events, Sampling, and Physical Activations
Brand must disclose product-handling, age, safety, venue, insurance, shipping, permit, security, and distribution requirements before launch. Brand is responsible for product safety and legal restrictions on distribution. Additional insurance, certificates, permits, or staffing may be charged separately.
21. Product Shipping
Brand is responsible for timely delivery of products and accurate shipment information unless After Class expressly agrees to manage fulfillment. Shipping delays may move campaign dates. After Class is not responsible for carrier losses, customs delays, or damaged goods outside its control.
22. Replacement Participants
If a participant withdraws, becomes unavailable, or materially breaches before completion, After Class will use commercially reasonable efforts to propose a replacement where practicable. Replacement is the primary remedy for participant unavailability unless the SOW states otherwise. After Class is not liable for delays caused by replacement sourcing.
23. Performance Attribution and Fraud
Where compensation depends on signups, sales, installs, codes, or other performance, the campaign confirmation must identify the tracking source of truth, attribution window, eligibility criteria, treatment of duplicates/refunds, and fraud exclusions. After Class may exclude activity reasonably believed to be fraudulent, automated, duplicate, incentivized contrary to the brief, or otherwise invalid.
24. Brand Use of Participant Data
Brand may use participant contact and profile information only for evaluating or performing the After Class opportunity and lawful relationship administration. Brand may not scrape, resell, enrich for unrelated purposes, mass-market to, or build a competing database from After Class participant information without written permission.
25. Non-Circumvention
For 12 months after an After Class Introduction, Brand will not knowingly engage an introduced participant or organization for substantially similar paid work arising from that introduction in a manner designed to avoid After Class fees. Such work must be booked through After Class or include the fee After Class would otherwise have earned. Bona fide pre-existing relationships disclosed in writing within five business days are excluded.
26. Confidentiality
Brand will protect non-public participant contact information, rates, campaign strategy, network data, pricing, and other confidential After Class information and use it only for the campaign. Confidentiality obligations do not apply to information lawfully public, independently developed, or rightfully obtained without restriction.
27. Independent Contractors; No Employment Relationship
Unless expressly agreed otherwise, participants are independent contractors and not employees of Brand or After Class. Brand will not exercise control inconsistent with that relationship. Nothing creates a partnership, joint venture, fiduciary relationship, or agency authority for Brand to bind After Class.
28. Brand Warranties
Brand represents that it has authority to enter the campaign; its products, services, brief, instructions, claims, and materials are lawful; it holds required rights and licenses; it will comply with privacy and advertising law; and it will not request conduct that violates law, school policy, platform rules, or third-party rights.
29. Indemnification by Brand
Brand will defend, indemnify, and hold harmless After Class and its owners, employees, contractors, and participants from third-party claims, investigations, penalties, recalls, losses, and reasonable legal fees arising from Brand products/services, Brand-provided claims or materials, product defects, regulatory violations, Brand instructions, Brand misuse of content or data, or Brand breach of these Terms. After Class may control the defense of an indemnified matter.
30. Limitation of Liability
To the fullest extent permitted by law, After Class is not liable for indirect, consequential, special, exemplary, or punitive damages; lost profits; lost sales; reputational harm; platform decisions; participant acts; or campaign underperformance. Except for amounts that cannot legally be limited, After Class's aggregate direct liability will not exceed the After Class service fees actually paid for the specific campaign giving rise to the claim.
31. Chargebacks and Payment Reversals
Brand will not initiate a chargeback or payment reversal for a good-faith contractual dispute without first using the dispute procedure. Improper chargebacks do not extinguish Brand's payment obligation, and Brand is responsible for resulting fees and reasonable collection costs where permitted.
32. Publicity and Case Studies
Unless the SOW prohibits it, After Class may identify Brand as a client and use Brand's name/logo in a factual client list after the campaign becomes public. Use of campaign results, screenshots, or confidential metrics in a case study requires Brand approval unless already public or anonymized.
33. Insurance
For campaigns involving physical events, sampling, travel, or elevated risk, After Class may require Brand or vendors to maintain commercially reasonable insurance and provide certificates of insurance. Additional insured requirements must be agreed in advance.
34. Force Majeure
No party is liable for delays caused by events beyond reasonable control, including weather, school closures, illness, platform outages, venue cancellations, government action, strikes, shipping disruptions, or product recalls. The parties will work in good faith to reschedule or modify affected obligations.
35. Disputes
The informal-resolution, arbitration, class-waiver, governing-law, and related dispute provisions in the After Class Terms of Use are incorporated into these Brand Terms unless a signed SOW expressly provides different dispute terms.
36. Entire Agreement; Priority
The signed or accepted SOW/order form, these Brand Terms, the general Terms of Use, and Privacy Policy form the agreement. A signed SOW controls over conflicting Brand Terms; Brand Terms control over conflicting general Terms for campaign matters. Brand purchase-order boilerplate does not modify the agreement unless After Class expressly accepts it in writing.
